General Terms of Purchase — simplified web version

What we expect from our suppliers and subcontractors — and what we commit to in return. The principle remains amicable agreement; sanctions are the exception.

This page is a reading aid, with no contractual value. Only the full documents are binding: the common core, the Terms of Purchase and their appendix SPEC01, and the French version alone prevails (the English PDFs are courtesy translations). If in doubt, or in case of any difference, always refer to them.

1Order and documents

Art. 1 to 3
  1. Our orderIssued electronically.
  2. Your OA without reservationReturned within 48 hours.
  3. Order definitiveAny commencement of performance also amounts to unreserved acceptance.
  • Performing an order entails adherence to the Terms of Purchase and to SPEC01. Your own general terms do not apply, save our written acceptance. Art. 1.2 · 2.2
  • Order of precedence: Special Terms (order, OA, framework agreement) > Terms of Purchase and common core > SPEC01 > offers or quotations > specifications and drawings. Art. 2.1
  • Order at €0: you communicate the prices by OA; absent an update on our part within 48 business hours, the order is validated at those prices. Art. 3.2
  • Check the order and flag any legal or regulatory incompatibility to us before starting. Art. 3.3

Amending the terms for one order

Written request, then written agreement of one partner of MECA8760, by simple e-mail. Valid for that order only.

Amending the terms durably

Written request, then written acceptance signed by all the partners. Only that form binds the company.

Our silence, the receipt of a delivery, the signature of a delivery note or the payment of an invoice never amount to acceptance of an amendment. Art. 2.4

2Price, invoicing and payment

Art. 4 · 13
  • Prices firm and definitive on the order, ancillary costs included (packaging, transport, insurance, fixed costs, surcharges). Any revision requires a written amendment signed by both parties. Art. 4.1

An invoice processed without delay is:

✔ Mandatory particulars

  • Our order number
  • The delivery-note number
  • Our item references

✔ Sending

⚠️ Invoices sent by ordinary mail are not processed and give rise to no late-payment penalty. Art. 4.3

  • Payment by bank transfer, to the IBAN sent by e-mail and stated on the invoice. Art. 13.1
  • Statutory payment periods (Art. L.441-10 of the French Commercial Code), unless special conditions apply, from the issue date of the conforming invoice. Art. 13.2

3Quality: the golden rule

Art. 5

The expected quality level is defined by SPEC01, sent with the request for quotation and recalled on the order. It is a contractual document. Art. 5.1

✔ You are free in your means

Sources of supply, organisation, processes: your choice, as long as the required conformity and traceability are ensured. Your processes remain confidential (save proof of conformity, SPEC01 traceability or legal obligation).

✘ Conformity is intangible

No change on your own initiative to the design, dimensions, tolerances, surface finishes or any characteristic defined in the contract.
  1. IsolateAn error, a deviation, a requirement deemed unfeasible?
  2. IdentifyNeither scrap, conceal nor decide alone.
  3. WarnBefore delivery, so we decide together whether the deviation is derogable.
  • Compliance with applicable regulations (notably REACH and RoHS), intellectual-property warranty. Art. 5.4 · 5.6
  • The statutory warranty against hidden defects applies. Art. 5.8
  • Goods we entrust to you: they remain our property; you keep them as a good professional. Art. 5.7

4Receipt at MECA8760

Art. 6
  • Inspection takes place at our site after delivery. Signing the delivery note does not amount to definitive acceptance. Art. 6.1 · 6.2
  • Acceptance may depend on an inspection compliant with SPEC01, where applicable by a third party. Art. 6.3
  • Apparent defects: we have at least 30 calendar days to notify you in writing. Non-apparent defects: within a reasonable time after their discovery. Art. 6.4

5Lead times: a tiered response

Art. 7

Lead times on the order are mandatory; they can only change with our prior written agreement. In the event of delay:

  1. AlertYou warn us as soon as you anticipate a risk: we re-plan together. No penalty.
  2. Simple delayFormal notice by e-mail and 5 business days' grace. No penalty.
  3. Confirmed delay0.5 % of the pre-tax amount of the delayed fraction per business day, capped at 10 %.
  4. Critical delayBeyond the cap, or lead time flagged as critical on the order: termination, sourcing from a third party at your expense or specific performance (Art. 8).
  • At your request, a modulation of penalties may be examined if they are manifestly disproportionate. Art. 7.3
  • No penalty if the delay is due to us (material, drawings, validation or down payment provided late) or to force majeure. A lead time is critical only if flagged as such on the order. Art. 7.3
  • Transport: Incoterm agreed on the order; failing that, risk stays with you until receipt at our site. Art. 7.4

6In the event of non-conformity

Art. 5.2 · 8

Standard regime — amicable agreement

Proven non-conformity attributable to you: you replace or re-manufacture at your expense, or the defective parts are not paid for. No automatic re-invoicing.

Exceptional regime

Only failing amicable agreement, in serious or repeated situations (repeated non-conformities, critical delay, refusal to remedy, quantified and documented loss).

Your right to propose a solution

  1. We inform youIn writing: non-conformity, mandatory date, quantity, expected quality, criticality.
  2. You proposeRework, sorting, re-manufacture, stopgap, express transport: 24 business hours in a characterised emergency, 48 to 72 business hours otherwise.
  3. Work at your expenseOnly if no solution is proposed in time, if it does not meet the constraints, or if it fails.
  • Management fee: €85 per non-conforming reference attributable to you, capped at the pre-tax amount of the fraction concerned. Not due if the non-conformity stems from our documents, drawings, materials or instructions; may be reduced if minor. Art. 8.3
  • Re-invoicing of substantiated direct costs (sorting, rework, substitute supply…) only failing amicable agreement. Art. 8.4
  • Indirect losses are excluded both ways. Art. 8.1

7Ethics, confidentiality and legal obligations

Art. 9 to 12
  • Decent work: no child labour, forced labour or undeclared labour — including at your own subcontractors. A proven breach is gross misconduct. No audit imposed. Art. 10
  • Confidentiality of drawings, specifications and manufacturing secrets, ours and our customers', including after the relationship ends. Art. 11
  • URSSAF vigilance certificate (suppliers established in France, contract ≥ €5,000 excl. tax): on conclusion of the contract, then every 6 months. Art. 12
  • Import purchases: customs-clearance documents and accurate information on origin, nomenclature and value. Art. 9

Reminder: this summary does not replace the full documents. It deliberately simplifies and does not cover every clause. The Terms of Purchase are read together with the common core and SPEC01; if in doubt or in case of any difference, only the full documents are binding, and the French version alone prevails.
