Our terms & specifications — simplified web version

No time to read it all? Here is the essence of our documents in a few minutes — clear, precise and quick.

Why do these documents exist?

Working together starts with understanding each other. Our general terms and quality specification are there neither to constrain nor to trap: they set out, in black and white, clear and balanced rules so everyone knows exactly what to expect.

MECA8760 requires duties of its partners, but assumes obligations in return. The spirit is that of a sound and lasting framework, not a balance of power: the principle remains amicable agreement; sanction measures are exceptional regimes, applied only failing a shared solution.

So they are not a punishment, nor a heavy or one-sided commitment, but the healthy foundation of a trusted partnership: what we commit to guarantee you, and what we expect in return. The goal: to avoid costly misunderstandings, protect both parties and build a lasting relationship.

Our terms comprise a common core (rules that apply both ways), supplemented by the Terms of Sale (GTS) (when we sell), the Terms of Purchase (GTP) (when we buy) and the SPEC01 (quality). The summaries below give you the essentials; the full document (PDF) remains the only contractual reference, the French version being binding.

The simplified web versions are a reading aid, with no contractual value. Only the full documents (PDF) are binding, and the French version alone prevails; the English PDFs are courtesy translations. If in doubt, or in case of any difference, always refer to the full documents.

Common core — customers and suppliers

Common core

The rules that apply both ways in the relationship — read together with the GTS or the GTP.

  • Order of precedence: Special Terms (accepted proposal, order, OA, framework agreement) > common core + GTS or GTP > SPEC01 > drawings, models and referenced standards. The other party's own general terms do not apply without our written agreement.
  • Primacy of writing — for both parties: only written documents bind (proposals, orders, OAs, drawings, specifications, e-mails). Verbal exchanges are for information only; silence never amounts to acceptance.
  • Formation of the contract: signed “approved”, returned OA, validation by ticking a box and double-clicking, or commencement of performance without reservation. Any acceptance entails adherence to the Terms and to SPEC01.
  • Confidentiality throughout the relationship and for 5 years afterwards. Your drawings remain your property; our process sheets, programs, jigs and know-how remain ours, even if invoiced.
  • Liability: proven fault, direct loss and causal link. Indirect losses are excluded on both sides. MECA8760's liability is capped at the pre-tax amount of the order (save gross or wilful misconduct), with a specific regime for entrusted goods.
  • Respect for individuals: respectful conduct required on both sides; insulting, threatening or discriminatory conduct, or harassment = gross misconduct.
  • Force majeure (termination possible beyond 60 days), French law, amicable settlement then mediation, failing which the Commercial Court of Vienne (France). The French version prevails.

SPEC01 — Quality specification

The common language between MECA8760 and its manufacturing partners: define the right need together to target the right price.

  • It is not a book of sanctions but a partnership tool: avoiding over-quality (a cost the end customer will not pay) and under-quality (disputes and returns).
  • 4 criteria, each on 4 levels (1 The essentials · 2 Inspected · 3 Attested · 4 Controlled), chosen according to the part's real criticality. The result is a short code carried on the request for quotation, the drawing and the order, e.g. A2 · B2 · C3 · D3.
  • ⚠️ Cumulative rule, contractual: the requirements of a level always add to those of the lower levels (B3 = B1 + B2 + requirements specific to level 3).
CriterionLevel 1 · The essentialsLevel 4 · Controlled
A · Dimensioning & tolerancesISO 2768 by default, derogation possible, no inspection reportReport + ISO 2859 sampling, full dimensional inspection, no derogation
B · Cleanliness & finishNo specific requirement, unless on drawingFully cleaned, controlled lay direction, functional surfaces cared for
C · PackagingNo specific requirementImposed packaging and carrier, repeatable procedure
D · Documentation & traceabilityOA or validation e-mail, exchanges by e-mailDeclaration of conformity, measurement report, batch-management system
